These Terms and Conditions (“Terms”) govern your access to and use of the Quina Health website, mobile applications, patient portal, provider dashboard, and related services (collectively, the “Services”) operated by Quina Health (“Quina,” “we,” “us,” or “our”). By creating an account, signing in, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

Please read these Terms carefully. They include important provisions regarding the nature of the Services, limitations of liability, dispute resolution, and your responsibilities. Section 4 contains a critical notice that the Services are not a substitute for professional medical care or emergency services.

1. Definitions

  • “Patient” means an individual who uses the Services to manage their own health information, medications, appointments, and health journal entries.
  • “Provider” means a healthcare professional, practice, or organization that uses the Services to coordinate care, communicate with Patients, or access information shared with them.
  • “User” means any person who accesses the Services, including Patients and Providers.
  • “Content” means any information, data, text, entries, or other material that Users submit to or generate through the Services, including medication records, appointment details, and health journal entries.
  • “AI Features” means the automated tools, reminders, insights, summaries, and care-coordination functionality within the Services that are powered by artificial intelligence or algorithmic processing.

2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an account. If you are using the Services on behalf of a minor or another individual as a parent, guardian, or authorized caregiver, you represent that you have the legal authority to do so and to agree to these Terms on their behalf.

2.2 Account Registration

To use most features, you must register for a Patient or Provider account. You agree to provide accurate, current, and complete information and to keep it updated. Providers further represent that they hold any licenses, credentials, and authorizations required to deliver healthcare services in their jurisdiction.

2.3 Account Security

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized access or suspected breach of security. We are not liable for any loss arising from your failure to maintain the confidentiality of your credentials.

3. Description of the Services

Quina provides a secure platform that helps Patients and Providers stay connected for better care coordination. Core features include:

  • Medication Tracking — tools to record medications, dosages, and schedules, along with automated reminders intended to support adherence.
  • Appointment Management — tools to schedule, organize, and receive reminders about appointments with healthcare providers.
  • Health Journal — tools to record symptoms, mood, and daily health notes, and to optionally share entries with a care team.
  • Care Coordination — features that allow information to be shared between Patients and the Providers they authorize.

We may add, modify, or discontinue features at any time. The Services support, but do not replace, the relationship between a Patient and their healthcare providers.

4. No Medical Advice; Not for Emergencies

The Services do not provide medical advice. Quina is a health-management and care-coordination tool. The Content, reminders, insights, and AI Features made available through the Services are for informational and organizational purposes only and are not a substitute for professional medical judgment, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition or medication.

Do not rely on the Services in an emergency. The Services are not designed for urgent or emergency communication. If you are experiencing a medical emergency, call 911 or your local emergency number, or go to the nearest emergency facility immediately. Do not use the health journal, messaging, or any other feature to request emergency care.

Reminders are not guaranteed. Medication and appointment reminders are provided as a convenience and may be delayed, missed, or not delivered due to factors outside our control, including device settings, connectivity, and third-party services. You remain solely responsible for taking medications and attending appointments as directed by your provider.

5. Artificial Intelligence and Automated Features

The Services may use AI Features to generate reminders, summaries, suggested next steps, and other care-coordination insights based on the Content available to the platform.

  • Informational only. Outputs from AI Features are automatically generated, may contain errors or omissions, and should not be relied upon as the sole basis for any health decision. They do not constitute medical advice and are not reviewed by a clinician unless expressly stated.
  • Provider responsibility.Providers remain fully responsible for exercising independent professional judgment. AI Features are intended to assist, not replace, clinical decision-making, and no output should override a Provider’s own assessment.
  • Accuracy of inputs. The quality of AI-generated outputs depends on the accuracy and completeness of the Content provided. We do not warrant that AI Features will be accurate, complete, reliable, or suitable for any particular purpose.
  • Human oversight. You should always verify important information and consult a qualified professional before acting on any automated output.

6. Privacy and Health Information

Your privacy is important to us. Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Protected health information.Quina is designed to handle health information securely and to support compliance with applicable health-privacy laws, including, where applicable, the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”). Where Quina acts as a business associate of a Provider, the parties will enter into a separate Business Associate Agreement that governs the handling of protected health information.

Information sharing. Content you choose to share with a Provider or care team will be accessible to those parties. You control, through the Services, which Providers may access your information, subject to the functionality available. You are responsible for the decision to share information and for the recipients you authorize.

Data security. We implement administrative, technical, and physical safeguards designed to protect your information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

7. User Responsibilities and Acceptable Use

You agree to use the Services lawfully and responsibly. You will not:

  • Submit information you know to be false, misleading, or inaccurate, or impersonate any person or entity.
  • Access, use, or attempt to access the accounts, data, or health information of others without authorization.
  • Use the Services to transmit unlawful, harmful, harassing, or infringing material.
  • Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Services or their underlying systems.
  • Use automated means to scrape, copy, or extract data except as expressly permitted.
  • Use the Services to provide care or instructions you are not licensed or qualified to provide.

You are responsible for the accuracy of the Content you submit and for ensuring that your use of the Services complies with all applicable laws and professional obligations.

8. Intellectual Property

The Services, including all software, design, text, graphics, and the Quina name and logo, are owned by Quina or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

Your Content. You retain ownership of the Content you submit. You grant Quina a worldwide, non-exclusive license to host, store, process, and use your Content solely to operate, maintain, and improve the Services and to provide the features you request, including AI Features, in accordance with our Privacy Policy and applicable law.

9. Third-Party Services and Links

The Services may integrate with or link to third-party products, services, or websites, such as messaging providers, calendar tools, or provider systems. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and policies.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that reminders, AI Features, or other outputs will be accurate, timely, or reliable. Any reliance on the Services is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, Quina and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, goodwill, or for any personal injury or harm, arising out of or relating to your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded, our total aggregate liability arising out of or relating to the Services will not exceed the greater of the amount you paid to Quina for the Services in the twelve months preceding the claim, or one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Quina and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your Content, your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

13. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Services, other Users, or comply with the law. You may stop using the Services and request closure of your account at any time. Provisions that by their nature should survive termination, including ownership, disclaimers, limitations of liability, and dispute resolution, will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means, and update the “Last Updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to any applicable law, you agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in California, and you consent to the jurisdiction of those courts. Nothing in this section limits any non-waivable rights you may have under applicable law.

16. General Provisions

Entire agreement. These Terms, together with the Privacy Policy and any agreements referenced herein, constitute the entire agreement between you and Quina regarding the Services.

Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
